CORPORATE SOCIAL RESPONSIBILITY POLICY  OF ANIL AGENCIES PVT LTD

1CONTEXT

Anil Agencies Private Limited hereinafter referred to as “AA” is a company registered under the Indian Companies Act 1956, the Company has developed its Corporate Social Responsibility Policy (CSR) in accordance with Section 135 read with Schedule VII of the Companies Act 2013 and the companies  (Corporate Social Responsibility Policy) Rules 2014 notified by the Ministry of Corporate Affairs, Government of India. This policy, hereinafter referred to as “CSR Policy”, underlines the guidelines principle, and the mechanism undertaking various CSR activities/programmes.

2. VISION

  1.       As a corporate citizen, AA is committed to identify and implement activities that are beneficial to society through Corporate Social Responsibility (CSR) initiatives. In pursuant to this, AA has framed the CSR policy and mechanism for undertaking socially useful programs for the welfare and sustainable development of the community at large.

3. OBJECTIVE OF CSR INITIATIVES

AA CSR Policy intends to:

  • Strive for economic development that positively impacts the community at large with minimal resources footprint.
  • Embrace responsibility for the company’s actions and encourage a positive impact through its activities to alleviate hunger, poverty, and malnutrition: to protect the environment; and to support communities, stakeholders, and society.
  • CSR Policy is to consistently pursue the concept of integrated development of the society in an economically, socially, and environmentally sustainable manner and at the same time recognize the interests of all its stakeholders.
  • Increasing contribution to activities that are beneficial to the society and community at large.
  • Chart out a mechanism for undertaking CSR activities.
  • Engage with AA key stakeholders in matters related to CSR activities.
  • Align and sync the activities undertaken by AA with applicable laws.

  • The CSR Policy has been made in line with section 135 of the Companies Act 2013 and its amendment from time to time(“the Act”) the company aims to contribute to activities that are beneficial to the society and community at large in alignment with the areas specified in Schedule VII of the Companies Act, 2013 as amended from time to time.

4. FOCUS AREAS AND MODES OF IMPLEMENTATION

  • Focus areas

CSR program of AA works towards eradicating hunger, poverty and malnutrition, promoting health care and sanitation. Promoting education, including special education and employment and enhancing vocational skills, especially among children, women, elderly, and the specially-abled and livelihood enhancement projects. Promoting gender equality, empowering women, reducing inequalities faced by socially and economically backward groups etc. AA partners with non-government organizations (NGO) and/or with any such other eligible organizations/implementing agencies as approved by the CSR committee to make  a difference among local communities. The company’s focus is to have sustainable development of society and the environment, and to make our planet more livable for future generations.

In accordance with the requirements under the Companies Act, 2013 and the rule/regulations framed there under and circulars/clarifications issued there under (collectively, “Applicable Law”), AA’s CSR activities, amongst others, will focus on:

  • Modes of Implementation
  • Eradicating hunger, poverty and malnutrition, promoting health care including preventive health care and sanitation.
  • Promoting education, employment enhancing vocational skills among children, women, elderly, and the specially-abled and livelihood enhancement projects.
  • Promoting gender equality, empowering women, setting up homes and hostels for women and orphans; setting up old age homes, day care centres and such other facilities for senior citizens.and measures for reducing inequalities faced by socially and economically backward groups.
  • Ensuring environmental sustainability, ecological balance, agroforestry, conservation of natural resources, maintaining quality of soil, and protection of flora and fauna.
  • Protection of National Heritage, art, and culture including restoration of buildings and sites of historical importance and works of art; setting up public libraries; promotion and development of traditional arts and handicrafts.
  • Measures for the benefit of armed forces veterans, war widows, and their dependents, Central Armed Police Forces (CAPF) and Central Para Military Forces (CPMF) veterans, and their dependents including widows.
  • Training to promote rural sports, nationally recognized sports, Paralympic sports, and Olympics sports.
  • Contribution to the Prime Minister’s National Relief Fund or Prime Ministeer’s Central Assistance and Relief in Emergency Situations Funds (PM CARES Fund) or any other fund set up by the central Government for socio-economic development and relief and welfare of the Scheduled Caste, the Schedule Tribes, Other Backward Class, minorities and the women
  • Contribution to incubators or research and development projects in  the field of science, technology, engineering, and medicine, funded by the Central Government or State Government or Public Sector Undertaking or any agency of the Central Government or state Government.
  • Rural development projects, slum area development projects,
  • Disaster management, including relief, rehabilitation and reconstruction activities

5. UNDERTAKING ACTIVITIES

AA will undertake its CSR activities being projects/programs other permitted activities, approved by the CSR Committee either directly or through the AA foundation and or with any such other eligible organizations/implementing agencies as approved by the CSR Committee.

The surplus arising out of the CSR activities shall not form part of the business profit of the company. Such surplus shall be spent towards its CSR activities and shall not form part of the business profit of the company such surplus shall be spent towards its CSR activities in accordance with this policy.

Identification and implementation of multi-year CSR projects/programs (“Ongoing Projects”) will be monitored by the Committee as required under applicable law.

6. CSR ANNUAL ACTION PLAN AND LOCATION OF CSR EFFORTS

The CSR Committee shall decide on the locations for CSR activities and formulate and recommend to the board for approval a CSR annual action plan, which shall contain all matters which are required under the applicable law and any other matters as the CSR Committee may deem fit from time to time.

The CSR Committee may modify the annual action plan at any time during the financial year, based on reasonable justification.

7.  IMPACT ASSESSMENT

Impact assessment shall be undertaken by the company or by the recipient or by implementing agency as required by and in the manner set out under the applicable law, and the impact assessment report(s) shall be placed before the CSR Committee and shall be disclosed as legally required.

8.  COMPOSITION OF CSR COMMITTEE AND DISCLOSURE

The CSR Committee shall be comprised in accordance with the requirements of applicable law. This CSR Policy, details of the composition of the CSR Committee and projects approved shall be hosted on the company’s website at www. anilagencies.com

9.  GOVERNANCE

The company can undertake CSR activities either by itself or through any other entities eligible to undertake CSR activities under the applicable law. Accordingly, AA Foundation or any such other entity will work closely with and support the board and the CSR Committee in carrying out CSR activities of the company. AA Foundation or any such entity will assist the CSR Committee in identifying the areas of CSR activities and execution of initiatives as per defined guidelines. AA foundation or such other entity will assist the board and the CSR Committee in reporting the programs of deployed initiatives and in making appropriate disclosure (internal/extrenal) on a periodic basis.

10.  FUNDING

AA Foundation or such other entity will receive requested for funding of projects throughout the calendar year its panel of experts will evaluate proposals received under the AA foundation or such other entity’s focus area and projects will be prioritized by assessing their potential impact. The AA Foundation or such other entity will then forward its recommendation to the CSR Committee. The CSR Committee will be deliberation on the proposal and approve proposals for implementation at its discretion.

AA representative or AA Foundation or such other entity will collaborate with stakeholders to monitor the status of each project and will report its findings to the CSR Committee periodically to enable the board and the management of the company to meet their reporting monitoring and other legal obligations.

In any year, where the company has spent in excess of its CSR obligation, such excess spending shall be available for set off against the company’s CSR obligations for up to the next three years in accordance with the applicable law, and the board shall be competent to pass a resolution in this regard.
